Compliance Helpline

The Board of Directors has established a process to ensure that Company employees and third parties have the ability to report suspected general, operational and financial wrongdoing within the Company.

The Iveco Group Compliance Helpline is operated by an independent third-party provider and is available 24 hours a day, seven days a week, 365 days a year. Reports can be made through a dedicated web portal, via app, by phone or to a Company representative. Where permitted by law, reports may be submitted anonymously. Additionally, where required by law, the nature of the reporting may be limited to only certain parties.

Retaliation is prohibited at Iveco Group

Iveco Group prohibits and does not tolerate any form of retaliation. The Company prohibits retaliation against whistleblowers, even if their concerns are found to be unfounded after investigation. Iveco Group is committed to providing a safe reporting environment that encourages and enables reporters to speak up and raise issues and concerns without fear of retaliation.

This service is not an emergency hotline

Concerns about an immediate threat of physical or property harm (e.g. fire, flood) should not be reported to the Compliance Helpline. If you need assistance with an emergency, contact your local police or emergency responders.

For all other complaints involving allegations of wrongdoing, please provide complete, accurate and detailed information. The Company promptly investigates all reports submitted and takes corrective action if necessary.

CATEGORIES OF REPORTING

Accounting and Internal Control

As part of our commitment to maximizing long-term shareholder value, we maintain high standards of financial planning and control and use accounting systems that comply with accounting principles and applicable laws. Examples of non-compliant accounting and internal control practices include: violations of accounting principles, financial policies and applicable laws; insider trading; and confidentiality obligations.

Business Conduct

Employees, officers and directors must comply with all applicable laws of the cities, states and countries in which Iveco Group operates, as well as with company policies and procedures. Examples of business conduct violations include: dishonest or unethical behavior (including misuse or misappropriation of company assets); actual or apparent conflicts of interest; failure to make disclosures required by the Code of Conduct; violations of applicable anti-corruption, competition/antitrust or other laws or company policies or procedures; and failure to promptly report violations of the Code.

Employment Practices

In compliance with the United Nations Declaration of Human Rights and the relevant Conventions of the International Labour Organization, Iveco Group supports the protection of fundamental human rights and respect for all individuals, ensuring equal treatment and excluding any form of discrimination. Examples of non-compliant employment practices include: child or forced labor, discrimination of any kind, harassment and retaliation.

External Relations

We are committed to conducting and improving our relationships with all stakeholders, acting in good faith, with loyalty, fairness and transparency, in compliance with our fundamental ethical values ​​defined by the Code of Conduct. Complaints may concern, among others, any concern: the conduct of an external consultant, independent contractor or political/government official; the Company’s agreements with external consultants or independent contractors or political/government officials (including political contributions).

Health, Safety and Environment

We recognize that health and safety in the workplace is a fundamental right of employees and a key element of Iveco Group’s commitment to sustainability. We also strive to ensure industry-leading working conditions, in accordance with the principles of industrial ergonomics and individual organizational and operational processes. Examples of non-compliant acts in health, safety and environment include: violation of applicable environmental laws or company policies or procedures regarding, among other things, the management and disposal of hazardous materials or the health and safety of individuals; product quality issues; acts or omissions that have a negative impact on local communities or society.

HOW TO MAKE A REPORT

If you are aware of circumstances or actions that violate, or appear to violate, the Iveco Group Code of Conduct, company policies or the law, you can report the violation to the Compliance Helpline.

If you intend to upload documentation (invoices, images, Word files, etc.) that could help us follow up on your report and you wish to remain anonymous, please remove any metadata that could reveal your identity.

Identifying and Removing Metadata

On a Windows Operating System

Follow these steps to remove metadata for any file on a Windows computer:

  1. Right-click the file.
  2. View its properties.
  3. Select the Details tab.
  4. Click Remove properties and personal information.
  5. Make a copy by removing all possible properties

On a Mac operating system

Remove metadata from a Microsoft Office file on a Mac OS computer by following these steps
Click Preferences > Security > Privacy.
Under the Privacy Options heading, select Remove personal information from this file when saving.

Reports can be made to the Group Compliance Helpline using the web form through the “Report a concern to Iveco Group” channel at: https://ivecogroup.speakup.report/raiseaconcerntoivecogroup.

Guidance or clarification on issues relating to the Company’s compliance and ethics program can be obtained through the “Ask a question” channel at: https://ivecogroup.speakup.report/it/askaquestion/home.

In countries where the law requires each Legal Entity with more than 249 employees to have its own reporting channel, reports can be made either to the Group Compliance Helpline or to the Compliance Helpline of the Legal Entity concerned. In the latter case, reports can be made using a web-based registration form via the “Report a Concern” channel at: https://ivecogroup.speakup.report/it/raiseaconcern/home. If you decide to exercise the right to report at Legal Entity level, the central ethics representatives will not be involved in the management of the report and will not have access to the content of the complaint, unless it concerns more than one Legal Entity or constitutes a matter of relevance to the Group. Instead, the case will be managed by the natural persons designated for the Legal Entity concerned.
